These Terms of Service (“Terms”) govern your access to and use of the services provided via scalelab.digital (the “Website”), operated by Lioriva OÜ (the “Company”, “we”, “us”, “our”). The Company provides execution-driven marketing services delivered by qualified specialists on a per-order basis (the “Service”).

By accessing or using the Website and/or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

The Service is made available under the brand name “Scalelab”. These Terms apply to all users and visitors of the Website and the Service. These Terms are drafted in accordance with:
● the Law of Obligations Act of the Republic of Estonia (Võlaõigusseadus);
● the General Part of the Civil Code Act (Tsiviilseadustiku üldosa seadus);
● applicable EU consumer protection legislation.

2. Definitions

“Service” – marketing services via the Website, delivered by qualified specialists on a per-order basis, including production and delivery of outputs.
“User”, “you” – any natural person or legal entity accessing the Website or placing an Order.
“Account” – your user profile on the Website.
“Order” – a request for a specific Service purchased via the Website.
“Deliverables” – results produced for your Order (files, documents, visuals, copy, reports, links) delivered to your Dashboard.
“Brief” – information you provide to enable Order delivery (requirements, brand voice, objectives, examples, references).
“Dashboard” – account area displaying Orders, statuses, timelines, Deliverables.
“Business Day” – any day other than Saturday, Sunday, or public holidays in Estonia.

3. Nature of the Service

3.1. Service provides execution-driven marketing support based on your Order and Brief, delivered manually by qualified specialists, including review and quality control.
3.2. The Company does not provide regulated legal, tax, financial, or other professional advisory services; materials are general guidance only.
3.3. No guarantee of specific commercial outcomes (revenue, conversions, follower growth, ad performance), as results depend on external factors beyond the Company’s control.

4. Eligibility

4.1. Service is for users 18+.
4.2. By using Service, you confirm you are legally capable and have authority to place Orders on behalf of your business.

5. Account Registration

5.1. Creating an Account may be required.
5.2. You are responsible for maintaining login confidentiality and all activities under your Account.
5.3. Provide accurate, up-to-date information; do not impersonate others.

6. Orders, Delivery Process, and Statuses

6.1 Placing an Order – choose Service, submit Order, pay one-time price.
6.2 Brief Confirmation – specialist may contact to confirm requirements and timeline.
6.3 Delivery Times – vary by Service; timelines confirmed after Brief review, shown in Dashboard. If your input is required, delivery may be paused.
6.4 Order Statuses – Paid, In Progress, Completed; Dashboard may show start date and ETA.
6.5 Delivery – Order considered Completed when Deliverables uploaded to Dashboard or delivery links provided with note.

7. Pricing, Payments, and Taxes

7.1 Prices – per-order, not subscription unless stated.
7.2 Payments – via third-party providers; no full card storage.
7.3 Taxes/VAT – inclusive or exclusive depending on location; added at checkout if required.
7.4 Price changes – do not affect already paid Orders.

8. Revisions and Scope

8.1 Deliverables – based on Website scope and confirmed Brief.
8.2 Revisions – number and scope described on Website or during confirmation; additional revisions may require extra fee/timeline adjustments.
8.3 Major scope changes – may require revised timeline and/or additional payment.

9. Consumer Right of Withdrawal (EU) and Immediate Performance

9.1 EU/EEA consumers may withdraw within 14 days unless exception applies.
9.2 Immediate performance – requesting immediate Service start may reduce 14-day withdrawal rights.
9.3 Website may request explicit consent to begin immediate performance.

10. Cancellations, Refunds, and Non-Response

10.1 Cancellation before work – possible refund if Order not In Progress, unless costs/work started.
10.2 After work started – refunds generally unavailable; partial refunds or corrective re-performance may be offered if Deliverables deviate.
10.3 Non-delivery – if Company delay, revised date or refund offered.
10.4 Non-response from you – delivery paused after 7 Business Days, Order may close after 14 calendar days; refund depends on stage.
10.5 Chargebacks – contact legal@scalelab.digital first; unjustified chargebacks may lead to suspension.

11. User Obligations

Provide accurate info, respond timely, comply with laws.
Materials provided must be owned/licensed and not infringe third-party rights.

12. Prohibited Requests and Acceptable Use

Do not submit unlawful, deceptive, infringing, harmful content.
Company may refuse, suspend, or terminate Orders violating Terms or law.

13. Copyright & Intellectual Property

Applies Estonian Copyright Act, Directive (EU) 2019/790, applicable EU/Estonian law.
Company retains Platform, methodologies, workflows; Users retain Input Materials.
Upon payment, Users get perpetual, non-exclusive right to use Deliverables internally.

13.1 Ownership of Platform and Service

Website, architecture, workflows, tools, frameworks remain Company property. No rights transferred except as stated.

13.2 User-Provided Materials

Users retain IP in Input Materials. License granted to Company to process/use for Services; terminates after Order completion unless required by law/security/accounting.

13.3 Deliverables and Results

Created by professional human effort. Full payment grants non-exclusive, perpetual, non-transferable license for internal business/marketing. Company’s methodologies/tools remain excluded.

13.4 Restrictions on Use

No resale, sublicensing, reverse-engineering, or claiming Deliverables as User’s proprietary methods.

13.5 Third-Party Rights

Company not liable for unintentional similarities. Users responsible for legal compliance.

13.6 Prohibited Content

No unlawful, infringing, or unauthorized Input Materials. Company may refuse execution or suspend access if suspected.

13.7 Notice and Takedown

Send infringement notices to legal@scalelab.digital with protected work ID, description, location, statement, and contact info.

13.8 Reservation of Rights

All IP rights not granted remain with Company.

14. Confidentiality

Business briefs, project materials, and Deliverables treated as confidential; anonymized/aggregated info may be used internally.

15. Third-Party Platforms

Deliverables may be used on third-party platforms; Company not affiliated unless stated. Rules and availability controlled by platforms.

16. Suspension and Termination

Company may suspend/terminate Service for Terms violations, unlawful/abusive use, or legal requirement. Termination does not affect accrued rights.

17. Disclaimer

Service and Deliverables based on your input; no guarantee of results. Provided “as is” and “as available.”

18. Limitation of Liability

Company not liable for indirect/consequential damages, profit loss, or outcomes dependent on third parties. Mandatory consumer laws prevail.

19. Force Majeure

Company not liable for delays/failures due to events beyond control: hosting/payment providers, networks, government actions, disasters.

20. Privacy and Cookies

Use governed also by Privacy Policy and Cookies Policy on the Website.

21. Governing Law and Jurisdiction

Laws of Republic of Estonia apply, excluding conflict-of-law rules. Disputes subject to Harju County Court, unless mandatory consumer protection provides otherwise.

22. Amendments

Company may update Terms; updates effective from publication date on Website.
